Governance Structure and Committees
UKCBC operates a clear, tiered governance architecture that separates academic governance, executive management and corporate oversight whilst keeping them coherently connected. This structure ensures that decisions are taken at the right level, supported by validated evidence, and subject to appropriate scrutiny before escalation.
The Board of Governors
The Board of Governors is the supreme governing body of UKCBC. It holds ultimate responsibility for the College’s strategic direction, financial sustainability, academic integrity, risk management and regulatory compliance. The Board operates under the CUC Higher Education Code of Governance and the Office for Students Public Interest Governance Principles, and includes independent governors, executive members, and representatives of students and staff.
Independent governors form the majority of the Board at all times, safeguarding the independence of governance oversight.
The Board is supported by three standing committees, each operating under formally approved Terms of Reference and reporting directly to the Board.
Audit and Risk Committee
Provides independent assurance on the adequacy and effectiveness of the College’s internal controls, risk management arrangements, audit activity, data integrity and regulatory compliance. The Committee produces an annual opinion on governance, risk and internal control effectiveness.
Finance Committee
Supports the Board in securing the financial sustainability, solvency and value for money of the College. It scrutinises budgets, forecasts, cash flow, investment proposals and financial risk, and provides assurance on compliance with OfS financial sustainability requirements.
Nominations and Remuneration Committee
Ensures effective Board composition, leadership capability and transparent remuneration governance. It oversees governor appointments, succession planning, skills audits, fit and proper person assessments, and the remuneration framework for senior post holders.
The Academic Board
The Academic Board is the senior academic authority of UKCBC. It operates independently of executive management and reports directly to the Board of Governors, ensuring that academic assurance is visible at the highest level of governance. The Academic Board is responsible for academic standards and quality, student outcomes, academic policy and the integrity of teaching, learning and assessment.

The Quality of Education Group
Acts as the deliberative arm of the Academic Board, providing detailed scrutiny of quality assurance activity, programme performance, student outcomes and compliance with OfS Condition B requirements. The Quality of Education Group meets monthly and escalates recommendations and risks to the Academic Board.
Programme Committees
Operate at programme level, reviewing delivery, student feedback, assessment practice and academic performance data. They report to the Quality of Education Group and provide a structured mechanism for programme-level assurance and student voice.
The Executive Leadership Team
The Executive Leadership Team (ELT) is responsible for the executive management and operational delivery of the College. It consolidates assurance from operational forums and presents integrated assurance to the Board, covering institutional performance, financial sustainability, regulatory compliance and risk management. The ELT meets weekly.
The ELT is supported by the College Management Team, which coordinates cross-departmental operational delivery, and a number of operational forums including the Operations Meeting, the Marketing and Admissions Meeting, and the Finance Operations Committee.
Student and Staff Voice
The Student Council is the principal collective student voice body at UKCBC. It reports directly to both the Board of Governors and the Executive Leadership Team, ensuring that student perspectives are visible at the highest level of governance. Student representatives also sit on the Board of Governors and within academic governance structures.
Staff voice is embedded through a staff governor on the Board and through structured engagement mechanisms across academic and operational governance forums.
